This Privacy Policy explains—plainly and briefly—what information we collect, why we collect it, and how you can control it. It applies to anyone who visits RemoteAgent.com or uses our email‑based AI agents ("RemoteAgent").

These Terms of Service ("Terms") govern your access to and use of RemoteAgent.com and the email‑based AI agents provided by CloserLook AI, a product of Abris Inc. ("RemoteAgent," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company to these Terms.

1. Your Account

  • You must be at least 18 years old and use a valid business email address to create an account.
  • Keep your login credentials confidential. You are responsible for all activity that occurs under your account.
  • You must provide accurate information and promptly update it if it changes.

2. Your Content & Data

  • Ownership. You retain all rights to emails, documents, and other content you submit to the Service ("Customer Data").
  • License to Us. You grant us a limited license to process Customer Data solely to provide the Service and support.
  • Backups. You are responsible for maintaining copies of your Customer Data. We are not a backup service.

3. Acceptable Use

You agree not to:

  1. Use the Service for illegal, harmful, or deceptive activities
  2. Upload malicious code or interfere with the Service's operation
  3. Attempt to reverse engineer or scrape the Service
  4. Use the Service to create or disseminate unsolicited bulk email (spam)
  5. Misrepresent your identity or affiliation

We may suspend or terminate accounts that violate these rules.

4. Fees & Payment

  • Some features require a paid subscription. Prices and billing cycles are shown at checkout.
  • Fees are non‑refundable except as required by law.
  • Late payments may result in suspension of Service.

5. Intellectual Property

  • We own all rights to the Service, including software, documentation, and branding. Except for the limited license in Section 2, these Terms grant you no ownership in the Service.
  • You may display or share outputs generated by Remote Agents for lawful business purposes.

6. Confidentiality

Any non‑public information you share with us, and any non‑public information about the Service, is "Confidential Information." Each party agrees to:

  • Use Confidential Information only as needed to perform under these Terms
  • Protect it with reasonable care
  • Not disclose it to third parties without consent, unless required by law

7. Disclaimers

  • The Service is provided "as is" and "as available." We make no warranties (express or implied) about accuracy, reliability, or fitness for a particular purpose.
  • We do not guarantee that the Service will be uninterrupted or error‑free.

8. Limitation of Liability

To the fullest extent allowed by law:

  • Indirect Damages. We are not liable for any indirect, special, incidental, or consequential damages (including lost profits or data).
  • Cap on Direct Damages. Our total liability arising out of these Terms will not exceed the greater of (a) $500 or (b) the amount you paid us in the 12 months before the claim.

9. Indemnification

You will defend and indemnify RemoteAgent against any third‑party claims arising from (a) Customer Data, or (b) your use of the Service in violation of these Terms or applicable law.

10. Term & Termination

  • These Terms remain in effect while you use the Service.
  • You may stop using the Service at any time.
  • We may suspend or terminate the Service immediately if you violate these Terms or pose security or legal risks.
  • Upon termination, your right to access the Service ends, but Sections 2–9 and 12 survive.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑law rules. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and each party consents to personal jurisdiction there.

12. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on RemoteAgent.com and email account holders 30 days before changes take effect. Continued use of the Service after the effective date means you accept the new Terms.
